凡依法可追討利息或特別損害賠償,本條例並不影響買方或賣方追討 利息或特別損害賠償的權利;凡付款的代價已消失,本條例亦不影響買方 或賣方追討已付款項的權利。
" Nothing in this Ordinance shall affect the right of the buyer or the seller to recover interest or special damages in any case where by law interest or special damages may be recoverable, or to recover money paid where the consideration for the payment of it has failed."
(1) 凡法律上隱含任何權利﹑責任或法律責任根據售貨合約而產生, 該權利﹑責任或法律責任可在不抵觸《管制免責條款條例》(第71章)的情 況下,藉明訂的協議,或藉雙方交易過程,或藉慣例(如該慣例對合約雙 方均具約束力)而予以否定或變更。 (由1989年第59號第20條修訂)
" (1) Where any right, duty or liability would arise under a contract of sale of goods by implication of law, it may (subject to the Control of Exemption Clauses Ordinance (Cap 71)) be negatived or varied by express agreement, or by the course of dealing between the parties, or by usage if the usage is such as to bind both parties to the contract. (Amended 59 of 1989 s.20)"
(2) 任何明訂的條件或保證條款,除非與藉本條例隱含的條件或保證 條款有矛盾,否則對後者並不加以否定。
(2) An express condition or warranty does not negative a condition or warranty implied by this Ordinance unless inconsistent therewith.
在本條例中,凡提述合理時間時,何謂合理時間乃事實問題。
" Where, by this Ordinance, any reference is made to a reasonable time, the question what is a reasonable time is a question of fact."
本條例所公布的任何權利﹑責任或法律責任,除本條例另有規定外, 均可藉訴訟強制執行。
" Where any right, duty, or liability is declared by this Ordinance, it may, unless otherwise provided by this Ordinance, be enforced by action."
在拍賣中─
In the case of a sale by auction-
(a) 凡貨品是分批拍賣,每批貨品表面均當作為一份獨立售賣合約之 標的物;
" (a) where goods are put up for sale by auction in lots, each lot is prima facie deemed to be the subject of a separate contract of sale;"
(b) 當拍賣商憑下鎚或其他慣用方式宣布拍賣成交,拍賣即告完成。 在此項宣布作出前,任何競投人均可撤回其競投;
" (b) a sale by auction is complete when the auctioneer announces its completion by the fall of the hammer, or in other customary manner.
Until such announcement is made any bidder may retract his bid;"
(c) 凡在拍賣中未有作出通知表示有權代賣方競投,在該次拍賣中賣 方親自競投或僱用任何人代為競投,或拍賣商明知而接受賣方或任何該等 人士的競投,均屬不合法買方可將任何違反本規則的售賣視為欺詐售賣;
" (c) where a sale by auction is not notified to be subject to a right to bid on behalf of the seller, it shall not be lawful for the seller to bid himself or to employ any person to bid at such sale, or for the auctioneer knowingly to take any bid from the seller or any such person.
Any sale contravening this rule may be treated as fraudulent by the buyer;"
(d) 在拍賣中可作出通知表示拍賣受保留價或底價限制,亦可由賣方 本人或由他人代賣方明示保留競投權利。
" (d) a sale by auction may be notified to be subject to a reserve or upset price, and a right to bid may also be reserved expressly by or on behalf of the seller."
凡競投權利獲予明示保留,並僅在此情況下,賣方或代其行事的任何 一名人士均可在拍賣中競投。
" Where a right to bid is expressly reserved, but not otherwise, the seller, or any one person on his behalf, may bid at the auction."
(1) 儘管本條例另有規定,與售賣合約有關的破產規則對售賣合約仍 繼續適用。
" (1) The rules in bankruptcy relating to contracts of sale shall continue to apply thereto, notwithstanding anything in this Ordinance."
(2) 普通法的規則(包括商法),尤其是與委託人和代理人的法律有關 的規則,及與欺詐﹑失實陳述﹑威迫或脅迫﹑錯誤或其他致使無效的因由 的影響有關的規則,除非與本條例的明訂條文有矛盾,否則繼續適用於售 貨合約。
" (2) The rules of the common law, including the law merchant, save in so far as they are inconsistent with the express provisions of this Ordinance, and in particular the rules relating to the law of principal and agent, and the effect of fraud, misrepresentation, duress or coercion, mistake, or other invalidating cause, shall continue to apply to contracts for the sale of goods."
(3) 本條例或本條例所作的任何一項廢除,並不影響與賣據有關的成 文法則,亦不影響本條例未予明示廢除的任何與售貨有關的成文法則。
" (3) Nothing in this Ordinance or in any repeal effected thereby shall affect the enactments relating to bills of sale, or any enactment relating to the sale of goods which is not expressly repealed by this Ordinance."
(4) 本條例中關於售賣合約的條文,對任何形式上屬售賣合約而又擬 以按揭﹑質押﹑押記或其他保證形式運作的交易,概不適用。
" (4) The provisions of this Ordinance relating to contracts of sale do not apply to any transaction in the form of a contract of sale which is intended to operate by way of mortgage, pledge, charge, or other security."
(6) 《1977年貨品售賣(修訂)條例》*(1977年第58號)所作有關本條例 的修訂,對凡屬本條例適用且在該條例生效日期前訂立的合約,概不適用 ;所有該等合約均繼續受在緊接《1977年貨品售賣(修訂)條例》*(1977年 第58號)生效日期前施行的本條例條文所管限。
(6) The amendments of this Ordinance made by the Sale of Goods (Amendment) Ordinance 1977 (58 of 1977) shall not apply to contracts to which this Ordinance applies which were entered into prior to the date of commencement of that Ordinance; and all such contracts shall continue to be governed by the provisions of this Ordinance in operation immediately prior to the date of commencement of the Sale of Goods (Amendment) Ordinance 1977 (58 of 1977). (6) The amendments of this Ordinance made by the Sale of Goods (Amendment) Ordinance 1977 (58 of 1977) shall not apply to contracts to which this Ordinance applies which were entered into prior to the date of commencement of that Ordinance; and all such contracts shall continue to be governed by the provisions of this Ordinance in operation immediately prior to the date of commencement of the Sale of Goods (Amendment) Ordinance 1977 (58 of 1977). 本條例旨在修訂有關公開拍賣土地的法律。
To amend the law as to sales of land by public auction.
本條例可引稱為《土地拍賣條例》。
This Ordinance may be cited as the Sale of Land by Auction Ordinance.
在本條例中,除文意另有所指外─
" In this Ordinance, unless the context otherwise requires-"
“拍賣人”(auctioneer) 指以公開拍賣形式出售任何土地的人,不論 該土地是按地段或以其他方式出售。
" ""auctioneer"" (拍賣人) means any person selling by public auction any land, whether in lots or otherwise;"
“土地”(land) 指在香港境內任何宅院﹑土地或物業單位(不論其以 任何形式保有)的權益;
" ""land"" (土地) means any interest in any messuages, lands, or tenements of whatever tenure within the Colony."
(1) 任何土地的拍賣細則或條件,須述明該土地是否不設底價而出售 ,或其出售是否受任何底價規限,或賣家是否保留出價權利。
" (1) The particulars or conditions of sale by auction of any land shall state whether such land will be sold without reserve, or subject to a reserved price, or whether a right to bid is reserved."
(2) 如曾述明該土地是不設底價而出售的,或有關的述明意思如此, 則賣家僱用任何人在該項拍賣中出價或拍賣人明知而接受該人的任何出價 ,均屬不合法。
" (2) If it is stated that such land will be sold without reserve or to that effect, then it shall not be lawful for the seller to employ any person to bid at such sale or for the auctioneer to take knowingly any bidding from any such person."
